Terms of service

1. Eligibility and account

You must be 18 or older and capable of forming a binding contract to use ClearWIP. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately if you suspect unauthorized access.

2. Acceptable use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law.
• Attempt to access data belonging to other ClearWIP users.
• Reverse engineer, decompile, or otherwise attempt to extract source code from the Service.
• Upload viruses, malware, or other harmful code.
• Use automated means to access the Service in ways that exceed normal usage.

3. Subscription and billing

Access to paid features requires an active subscription. New subscriptions begin with a 14-day free trial; a payment method is required to start, and the trial converts to a paid subscription automatically unless you cancel before it ends. Subscriptions are billed in advance on a monthly or annual basis. You may cancel at any time; access continues through the end of the current billing period. First-time subscriptions are covered by a 30-day money-back guarantee from the first charge. Beyond that guarantee, refunds are not provided for partial billing periods unless required by law.

4. Your data

You retain all rights to the data you upload or connect to ClearWIP. You grant us a limited license to store, process, and transmit your data solely to provide the Service. We will not access your data except to operate and maintain the Service or as required by law.

5. QuickBooks Online integration

The Service connects to QuickBooks Online via the Intuit API. You authorize us to access your QuickBooks data as permitted by the scopes you grant during the OAuth connection flow. You may disconnect QuickBooks at any time from within the Service. On disconnect we stop syncing and request revocation of our access from Intuit; you can also revoke ClearWIP's access directly in your Intuit account settings. Previously synced data is retained per our Privacy Policy.

6. Limitation of liability

To the fullest extent permitted by law, ClearWIP is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including without limitation any errors or omissions in WIP calculations, bonding outcomes, or financial decisions made using Service outputs. ClearWIP outputs are financial tools. Always verify with a qualified accountant before relying on them for bonding or financial reporting.

7. Warranty disclaimer

The Service is provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

8. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

9. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes must be resolved in the state or federal courts located in the State of Delaware.
